Welcome to GoVoz. These Terms of Use ("Terms") govern your access to and use of GoVoz.ai, the GoVoz application (the "Service"), and related services provided by Trina Aguirre LLC, doing business as GoVoz ("GoVoz," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
GoVoz is a bilingual safety communication platform built for construction crews. The Service provides English and Spanish translation of construction-specific phrases, audio playback, company-customized content, document translation, and related features designed to support daily jobsite communication.
Important scope limitation: GoVoz does not replace OSHA-certified training, legal translation, certified interpretation, or a company's formal safety program. The Service is intended to support daily bilingual communication and does not satisfy regulatory training requirements.
2. Eligibility and Accounts
You must be at least 18 years old and authorized to enter into binding contracts on behalf of your organization to use the Service. By creating an account, you represent that the information you provide is accurate and that you will keep it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. User Obligations
- You will use the Service in compliance with all applicable laws, regulations, union contracts, and your own organizational policies.
- You will not use the Service for unlawful, harmful, fraudulent, or abusive purposes.
- You will not attempt to reverse engineer, decompile, or extract source code from the Service.
- You will not use the Service to transmit content that is defamatory, harassing, discriminatory, or that infringes any third party's rights.
- You acknowledge that GoVoz use by individual workers is voluntary and you will not mandate Service use as a condition of employment.
- You are solely responsible for the accuracy and appropriateness of any content you upload or distribute through the Service.
4. Payment Terms
Service licenses are sold in annual bundles billed quarterly in advance in U.S. Dollars. Pricing details are described on the GoVoz pricing page and confirmed in your written agreement.
Pilot period: The first 90 days of any new license is a pilot period. Initial quarterly payment is non-refundable and covers setup, customization, and onboarding. The pilot allows you to validate fit before annual contract obligations begin.
Annual conversion: Unless you submit a written cancellation notice during the pilot period (within 90 days of contract start), the contract automatically converts to an annual term beginning on day 91. Annual terms support custom features, content management, and ongoing maintenance.
Late payments may result in suspension of Service access. Disputed charges must be raised in writing within 30 days of the invoice date.
5. Cancellation
You may cancel your account at any time by submitting written notice to trina@govoz.ai. Cancellation during the 90-day pilot period prevents annual conversion. After day 91, cancellation takes effect at the end of the then-current annual term unless otherwise agreed in writing.
The initial quarter is non-refundable in all cases. Refunds for prepaid quarters beyond the initial quarter are subject to the terms of your individual agreement.
6. Intellectual Property
GoVoz™, the GoVoz logo, the Service, and all related content (excluding customer-provided content) are owned by Trina Aguirre LLC and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.
You retain ownership of content you upload to the Service. By uploading content, you grant GoVoz a license to use, display, and process that content solely as necessary to deliver the Service.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Confidentiality
Each party agrees to keep the other party's non-public information confidential and to use it only for purposes of performing under these Terms.
9. Service Availability
We work to keep the Service available but do not guarantee uninterrupted access. We may schedule maintenance, perform updates, or modify features at our discretion. We will provide reasonable advance notice of significant changes that materially affect customer use.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVOZ AND TRINA AGUIRRE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GOVOZ IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless GoVoz, Trina Aguirre LLC, and our officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any third party rights.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive venue for any disputes arising out of these Terms shall be the state or federal courts located in Placer County, California.
13. Dispute Resolution
Informal resolution. Before filing a claim, the parties agree to attempt to resolve disputes informally by contacting trina@govoz.ai. If a dispute is not resolved within 60 days, either party may pursue formal action.
Arbitration. Any disputes not resolved informally shall be submitted to binding arbitration administered by JAMS in California in accordance with its rules. The decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction. Each party shall bear its own costs and fees of arbitration unless otherwise determined by the arbitrator.
Class action waiver. You and GoVoz agree that any disputes will be resolved on an individual basis and not as a class, collective, or representative action.
14. Modifications
We may modify these Terms from time to time. Material changes will be communicated to active customers in writing at least 30 days before they take effect. Continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes.
15. Termination
We may suspend or terminate the Service if you materially breach these Terms and fail to cure the breach within 30 days of written notice. Either party may terminate without cause subject to the cancellation provisions in Section 5.
16. Entire Agreement
These Terms, together with the Privacy Policy and any individual customer agreement, constitute the entire agreement between you and GoVoz regarding the Service. Any conflicts between these Terms and a signed customer agreement shall be resolved in favor of the customer agreement.
